Terms of Service

1. Who these terms are between
These terms are an agreement between you and [Legal entity name] (“Nitrah”, “we”, “us”) covering your use of the Nitrah website and application at nitrah.com (the “Service”). By creating an account or using the Service you agree to them. If you are using Nitrah on behalf of a company, you confirm you have authority to bind it, and “you” includes that company.
You must be at least 18 years old to use the Service.
2. What the Service is
Nitrah is a workspace that sends your requests to artificial-intelligence models operated by third parties — currently Anthropic, OpenAI and Google — and returns their output. It chooses which model handles a request based on what the request appears to need and the plan you are on. It also offers document analysis, web research, image generation, audio transcription and speech, automated multi-step agents, and an optional memory feature.
The output is produced by those models, not by us. It can be wrong, incomplete, biased or out of date. You are responsible for checking anything you rely on. Nitrah is not a substitute for professional advice of any kind — legal, medical, financial or otherwise — and nothing it produces should be treated as such.
3. Your account
You need an account to use the Service. Keep your password confidential and tell us at once if you believe it has been compromised. You are responsible for everything done through your account until you do.
Each account has one or more workspaces. On a team plan, the workspace owner can add and remove members, and members can see content shared within that workspace. Your own saved memory notes are private to you and are not visible to other members.
4. Plans, credits and payment
The Service is offered on a free plan and on paid subscriptions. Usage is metered in credits: each request consumes credits in proportion to what it costs us to run, reserved before the request starts and settled against what the model provider reports when it ends. Credits are granted monthly with your plan, do not roll over, and have no cash value.
Paid subscriptions renew automatically each month until cancelled. Per-seat plans are billed for the number of members in the workspace. Payments are processed by Stripe; we do not store your card details. Prices are shown before you subscribe and may change with at least 30 days’ notice, taking effect at your next renewal.
You can cancel at any time from the billing page. Cancellation takes effect at the end of the current billing period, and you keep access until then. Except where the law requires otherwise, payments are not refundable once a billing period has begun.
If a payment fails, your workspace drops to free-plan limits until it is resolved. Your data is not deleted for non-payment.
5. Acceptable use
You agree not to use the Service to:
- break the law, or help anyone else to;
- generate content that is defamatory, harassing, sexually explicit involving minors, or that incites violence or hatred;
- create malware, attempt to gain unauthorised access to any system, or probe the Service for weaknesses without our written permission;
- upload content you do not have the right to use, or that infringes someone else’s intellectual property or privacy;
- circumvent credits, rate limits or plan restrictions, or create multiple accounts to do so;
- resell or provide the Service to third parties as your own product;
- use the Service in any way that breaches the usage policies of the model providers we route to.
We monitor for abuse — repeated failed sign-ins, attempts to reach other users’ data, and similar — and may temporarily restrict an address or suspend an account that breaches these terms. We will tell you why unless doing so would help the breach continue.
6. Your content
You keep ownership of everything you upload or type into the Service, and of the output you receive, to the extent the law allows ownership of it. You give us the licence we need to store, process and transmit your content to provide the Service — including sending it to the model provider that handles a given request — and nothing more.
We do not use your content to train our own models. Content sent to a model provider is handled under that provider’s API terms, which for the providers we use exclude training on API traffic. See the Privacy Policy for detail.
7. Deleting your data
You can delete individual conversations, files, projects and memory notes at any time. You can delete your whole account from the account settings page; this permanently removes your account, your personal workspace and everything in it, and cancels any subscription. Deletion is not reversible.
Aggregate usage records — how many credits were consumed, what it cost — are retained for billing and fraud prevention after deletion, with all identification of you removed.
8. Availability and changes
We aim to keep the Service available but do not guarantee it. Model providers have outages and rate limits outside our control; when one fails, we route to another where we can and tell you when we have. We may change or discontinue features, and will give reasonable notice of any change that materially reduces what you pay for.
9. Warranties and liability
The Service is provided “as is”. To the fullest extent the law allows, we exclude all warranties, express or implied, including fitness for a particular purpose, and we exclude liability for indirect, consequential or special loss, and for any loss arising from reliance on model output.
Where liability cannot be excluded, our total liability to you for all claims in any 12-month period is limited to the amount you paid us in that period. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow to be limited.
10. Ending the agreement
You can end it at any time by deleting your account. We can suspend or end it if you breach these terms, if required by law, or with 30 days’ notice for any other reason, in which case we will refund any prepaid amount for the unused period.
11. Changes to these terms
We may update these terms. If a change is material we will email the address on your account at least 14 days before it takes effect. Continuing to use the Service after that date means you accept the change.
12. Governing law
These terms are governed by the laws of [Country / state], and any dispute will be heard in its courts, without prejudice to any mandatory consumer protection you are entitled to where you live.
